Terms and Conditions of Carriage
Introduction
Welcome to GWU Global Logistics (“Company”, “We”, “Us”, “Our”). These terms and conditions (“Terms”) govern the services provided by Us, including the transportation of goods (“Services”). By using Our Services, You (“Customer”, “You”, “Your”) agree to be bound by these Terms. If You do not agree to these Terms, please do not use Our Services.
Service Scope
We provide transportation services as agreed upon in the service contract or order confirmation. The scope, including the size, weight, nature of the goods, and timing, will be specified in the service order. Any deviations from these specifications may result in additional charges as outlined below.
Price Changes for Incorrect Details
Accuracy of Information: You are responsible for providing accurate details regarding the size, weight, timing, and other specifics of the shipment. If incorrect or incomplete information leads to additional costs, You are responsible for those costs.
Price Adjustments: Discrepancies between provided and actual shipment details (size, weight, or timing) may result in price adjustments. Additional charges may apply if the shipment exceeds the stated dimensions or weight, or if changes in timing or specifics affect the cost of transport.
Notification: We will notify You of any price adjustments before final billing. If You do not accept these adjustments, We reserve the right to cancel the service, and You will still be liable for any incurred costs up to that point.
Collection
Collection Attempts: We will make up to two (2) attempts to collect the shipment as per the agreed schedule.
Failed Collection Charges: If the shipment is not ready for collection as scheduled, You may be charged for each subsequent collection attempt at $150 per attempt.
Rescheduling: You must notify Us at least 24 hours in advance if a collection needs to be rescheduled. Failure to do so may result in additional charges equivalent to the hourly service rate.
Payment: You agree to cover any collection costs incurred due to non-payment or late payment of any invoice. This may include legal fees, court costs, and other expenses related to recovering unpaid amounts. We may charge interest on overdue amounts at a rate of 5% per total freight charge.
Damage/Loss
Liability for Loss/Damage: We will take all reasonable precautions to prevent loss or damage to goods. However, We are not liable for loss or damage caused by circumstances beyond Our control, including natural disasters, accidents, or third-party actions.
Exclusions: We are not liable for damages resulting from improper packaging by the Customer or lack of necessary documentation.
Indirect Damages: We are not liable for indirect, consequential, or incidental damages, including but not limited to loss of profits, business, or goodwill.
Limited Liability: Our liability for loss or damage to goods is limited to $20,000 per truckload, unless otherwise agreed in writing. Customers are encouraged to obtain their own insurance for high-value goods.
Delays
Estimated Delivery Times: Delivery times provided by Us are estimates and not guarantees. We are not liable for delays caused by factors beyond Our control, including traffic, weather conditions, or unforeseen events.
Customer Availability: You must ensure that the recipient is available to receive the shipment during the delivery window. Failure to do so may result in re-delivery charges of $150 per attempt.
Compensation for Delays: We are not liable for any direct or indirect losses caused by delays, including loss of business, profits, or goodwill.
Cancellation and Modification
Cancellation: You may cancel or modify an order before collection, subject to applicable fees.
Cancellations made less than 24 hours before the scheduled collection time will incur a cancellation fee of 15% of the total booking cost.
Modifications: Changes to the order, including delivery address, timing, or nature of the goods, may result in additional charges. We will notify You of any changes to the pricing prior to service continuation.
Customer Obligations
Packaging and Labeling: You are responsible for ensuring that goods are properly packaged and labeled, and that all necessary documentation is provided. We are not responsible for any damage arising from improper packaging or labeling.
Accurate Information: You must provide accurate and complete information regarding the goods, including but not limited to size, weight, nature, and any special handling requirements.
Access and Permits: You must ensure that both the collection and delivery locations are accessible and that any required permits or authorizations are obtained. Failure to do so may result in additional charges.
Force Majeure We are not liable for any failure to perform, or delay in performing, Our obligations under these Terms due to circumstances beyond Our control, including acts of God, war, terrorism, labor disputes, government actions, or natural disasters. In such events, performance is suspended but not canceled, and will resume once the event ceases.
Payment Terms
All payments are due within 7 days of receiving the invoice, unless otherwise agreed in writing.
Late payments will incur an interest charge of 5% of the total freight charge per month. Legal and recovery costs incurred in collecting overdue payments will be charged to the Customer.
Dispute Resolution Any disputes arising from these Terms shall first be subject to mediation before either party pursues legal action. The costs of mediation will be shared equally between both parties.
Amendments We reserve the right to amend these Terms at any time. Changes will become effective upon posting the updated Terms on Our website or notifying You directly. Your continued use of Our Services after such changes constitutes Your acceptance of the new Terms.
